Terms of Service

These Terms of Service ("Terms") govern your use of AISpendr — a macOS desktop application for real-time tracking of AI quotas and API credits — and the website at aispendr.com (together, the "Service"), operated by [Publisher legal entity TBD] ("we," "us," or "our").

By downloading, installing, or using AISpendr, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service description

AISpendr is a privacy-first macOS desktop application that provides:

• Real-time monitoring of AI API credit balances
• Live countdowns for rolling-window quotas (e.g. Claude Code, Codex)
• Low-balance and quota-near-exhausted alerts
• Direct integration with provider APIs from your Mac

The Service runs locally on your device, making direct API calls to your connected providers. We do not process or store your usage data on our servers.

2. License grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to:

• Download and install AISpendr on Macs you own or control
• Use the Service for personal or business purposes
• Receive updates and new features during the period your licence is active

Licences are issued on a per-user basis. Each user requires their own licence. A licence may be used on multiple devices owned by the same user.

3. Plans and pricing

3.1 Free

AISpendr's free tier permits up to 3 connected services. No credit card or sign-up is required. The free tier is not time-limited; it is the trial.

3.2 Pro

The Pro tier is $3.99 per month, billed monthly through Lemon Squeezy. Pro lifts the 3-service cap and includes priority support. You may cancel at any time; access continues until the end of the current billing period.

3.3 Payment processing

All payments are processed by Lemon Squeezy Inc. ("Lemon Squeezy"), our Merchant of Record. Lemon Squeezy handles payment processing, tax collection, and compliance. Your payment relationship for the transaction is with Lemon Squeezy, not directly with us.

4. User responsibilities

You agree to:

• Provide accurate information when purchasing a licence
• Maintain the security of your licence keys and your provider API credentials
• Use the Service in compliance with all applicable laws
• Not share, resell, or redistribute your licence
• Not reverse-engineer, decompile, or modify the application
• Comply with the terms of service of any third-party provider you connect

5. Privacy and data

Your privacy is fundamental to the Service. Please review our Privacy Policy for full details. Key points:

• All usage-data processing happens locally on your Mac.
• Provider API credentials are stored in macOS Keychain.
• We collect only the minimum data necessary for licence management.
• We do not operate a backend that ingests your data.

6. Intellectual property

AISpendr, its name, logo, and all related software are owned by us and protected by intellectual-property laws. These Terms do not grant you any rights to our intellectual property except as expressly stated.

Third-party service names and logos referenced in the Service (Anthropic, OpenAI, OpenRouter, Cloudflare, Claude Code) are the property of their respective owners. Our reference to these does not imply endorsement by or affiliation with those services.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Quota or credit-balance figures will be 100% accurate at all times
• Third-party provider APIs will remain available, unchanged, or compatible
• The software will be free of bugs or vulnerabilities

Figures displayed in AISpendr are based on data returned by third-party APIs and should be verified against your providers' official billing dashboards.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims related to these Terms shall not exceed fifty US dollars ($50). These limitations apply regardless of theory of liability and even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if:

• You violate these Terms
• Your payment fails or is disputed
• We discontinue the Service
• Required by law

Upon termination your licence to use the Service ends.

11. Refund policy

Refunds are handled by Lemon Squeezy according to their refund policy. We honor a 30-day money-back guarantee on Pro subscriptions. To request a refund, contact Lemon Squeezy support directly or email us at support@aispendr.com.

12. Governing law and disputes

These Terms are governed by the laws of [Publisher jurisdiction TBD]. Any disputes shall first be resolved by good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration under [Arbitration body TBD], conducted in English in [Seat TBD].

13. Changes to these Terms

We may update these Terms from time to time. Check this page periodically. For material changes that significantly affect your rights, we will make reasonable efforts to notify you. Continued use after changes constitutes acceptance.

14. General provisions

14.1 Entire agreement

These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

14.3 No waiver

Our failure to enforce any right or provision is not a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
